In 2021, KCL Law’s Construction and Infrastructure team advised Camillo Builders on three significant projects:
- United Co – Offices, 425 Smith Street, Fitzroy — an office tower development consisting of heritage retention
of live working base structure and addition of an office tower by Kahlon Group and Zak Group. Completion due in early 2023. - Highpark Seasons, Glen Iris — a residential development consisting of 148 apartments as well as outdoor terraces, a private residence lounge and a central courtyard by Pasino Developments. Completion due in early 2023.
- MVRC Stage A (SP2) and Stage B, Moonee Ponds — are high-end residential developments by the Hamton Property Group. MVRC Stage A (Feehan Row) consists of 44 terrace homes due for completion in early 2023. Stage B (Thomas Street Apartments) consists of 69 apartments over six levels with completion expected in early 2023.
Principal Lawyer Damien Simonetti and Lawyer Jaimi Johanson advised Camillo on a variety of design and construct and construct only (with limited design) contract forms, including amended AS4300-1995, AS4000-1997 and Early Contractor Involvement (ECI) forms, and negotiated directly with the developers and their lawyers over many months. The various contracts involved a number of complexities such as COVID-19 delaying materials, protection works, provisional sums, latent conditions, live access requirements and the contracts themselves, which were heavily amended and required deciphering and further amendment to meet the parties’ expectations.
Significantly, KCL Law’s core amendments relating to document precedence, latent conditions, extensions of time, delay costs, variations and PS margins and limitation of liability were well received by the developers’ lawyers which facilitated negotiations.
KCL Law also advised on and successfully negotiated accompanying tripartite deeds for United and (all three stages) MVRC directly with the financiers’ lawyers post building contract execution, which was focused on filling payment gaps in connection with financier step-in rights and financier required amendments to the building contract.
